01The agreement

Who you're contracting with

DocsGenie is operated by Useful Media Limited (the "Parent Company"), with its wholly-owned Delaware subsidiary Useful Innovations Inc. (the "US Entity") handling US payments, customer-facing operations, and contracting with US-based users.

For users in the United States, these Terms form a binding agreement between you and Useful Innovations Inc. and govern your access to the Service. Useful Media Limited may also enforce these Terms as a third-party beneficiary.

Your representations

By accessing or using the Service, you represent that (a) you are at least 18 years old, (b) you have read and agree to these Terms, and (c) if you are using the Service on behalf of an organization, you have authority to bind that organization.

02What DocsGenie is

DocsGenie is a software platform that allows users to:

• Generate legal documents from a library of attorney-reviewed templates;
• Create custom legal documents with AI Draft;
• Edit, save, version, and export documents in PDF and DOCX;
• Access related guides and educational content.

We are not a law firm, and your use of the Service does not create an attorney-client relationship.

03Your account

• Provide accurate, current, and complete information.
• Maintain the security of your password.
• Notify us immediately of any unauthorized access at hello@docsgenie.net.
• Be responsible for all activity occurring under your account.

04Trial & billing

Subscription tiers and pricing

How the trial works

1. You are charged $1.00 immediately.
2. You have full access to the Service for 7 days.
3. 48 hours before your trial ends, we send you an email reminder.
4. If you do not cancel, you are charged the regular subscription rate on day 8.
5. Your subscription continues to renew until you cancel.

How to cancel

Visit your account billing page → Stripe customer portal → cancellation takes two clicks. No phone calls, no retention team. You retain access until the end of the current billing period.

Price changes

We may change prices for new subscriptions at any time. For existing subscribers, we will provide at least 30 days' notice via email before any price change takes effect.

05Refunds & cancellation

Goodwill exceptions

• Unintentional auto-charge — email us within 30 days of the charge.
• Duplicate charges due to system error.
• Service was unusable for an extended period due to our failure.

Cancelling your subscription stops future charges but does not entitle you to a refund for the current period.

06AI credits

• Failed generations are auto-refunded.
• Credits do not roll over — your credit balance resets at the start of each billing cycle.
• Top-up packs do not expire — purchased credits carry over month to month.
• Credits are not transferable, redeemable for cash, or refundable.

07We are not a law firm

The Service does not:

• Provide legal advice, opinions, recommendations, or representation.
• Review your specific legal situation.
• Guarantee that any document is appropriate or sufficient for your particular needs.
• Replace the judgment of a licensed attorney.

08AI output disclaimer

AI-generated content:

• May contain errors, omissions, or inaccuracies.
• May not reflect recent legal changes or jurisdiction-specific nuances.
• May produce confident-sounding text that is incorrect ("hallucinations").
• Is not reviewed by a human attorney before delivery to you.

You are responsible for reviewing all AI-generated content before relying on it, signing it, or providing it to a third party.

09Your content

You retain all rights, title, and interest in the documents you create, the inputs you provide, and any other content you submit.

You grant us a limited, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content solely as necessary to provide the Service to you.

We do not use Your Content to train AI models.

10Our content & intellectual property

You may not:

• Resell or redistribute our raw templates as a competing product.
• Scrape, copy, or republish our template library or AI prompts.
• Reverse engineer or attempt to extract source code from the Service.
• Use our trademarks, logos, or brand without prior written permission.

11Acceptable use

You agree not to use the Service to:

• Violate any law, regulation, or third-party right.
• Generate fraudulent, deceptive, or misleading documents.
• Impersonate another person or entity.
• Generate documents intended to harass, defame, or harm others.
• Distribute malware, viruses, or other harmful code.
• Attempt unauthorized access to the Service or other accounts.
• Interfere with or disrupt the Service.
• Use the Service to develop a competing product.
• Bypass usage limits or quotas.

12Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

13Limitation of liability

OUR AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100 USD.

14Indemnification

You agree to defend, indemnify, and hold harmless Useful Media Limited, Useful Innovations Inc., and their respective officers, directors, employees, and agents from claims arising out of (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party right, or (d) Your Content.

15Termination

Upon termination:

• Your access to the Service ends.
• Your documents are retained for 30 days, then deleted.
• Sections that should survive (IP, disclaimers, liability limits, dispute resolution) survive termination.

16Changes to these Terms

Your continued use of the Service after the effective date of an updated Terms constitutes acceptance.

17Disputes & governing law

Informal resolution first

Before filing any formal claim, you agree to first contact us at hello@docsgenie.net and try to resolve the dispute informally.

Governing law and jurisdiction

For US users contracting with Useful Innovations Inc., these Terms are governed by the laws of the State of Delaware, USA. Disputes will be brought in courts located in New Castle County, Delaware.

Class action waiver

Any dispute will be brought in an individual capacity, not as a plaintiff or class member in any purported class or representative action.

Time limit

Any claim must be filed within one (1) year after the cause of action arose, or it is permanently barred.

18Miscellaneous

Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us.

Severability

If any provision is held invalid, the remaining provisions remain in full force and effect.

Assignment

You may not assign these Terms without our written consent. We may assign them to a successor in connection with a merger or acquisition.

Force majeure

Neither party is liable for delays caused by circumstances beyond reasonable control.
